These Terms of Service ("Terms") govern the access and use of the POPPY TRADERS LTD website ("Site") and the purchase of wholesale FMCG goods and distribution services ("Services") by business customers. By using this Site or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use our Site or Services.

1. Definitions

  • "We", "us", "our" refers to POPPY TRADERS LTD.
  • "You", "Customer" refers to any business, company, or legal entity accessing the Site or purchasing Services.
  • "Goods" means the FMCG products supplied by us as part of an Order.
  • "Order" means a request for Goods or Services submitted via quote, purchase order, or other agreed channel.

2. Use of the Site and Services

  • This Site is intended for business-to-business (B2B) trade only. We do not sell directly to consumers.
  • You agree to provide accurate, complete, and up-to-date information when requesting quotes or creating an account.
  • Unauthorised use of the Site, including attempts to disrupt service or access restricted areas, is strictly prohibited.

3. Quotes and Orders

  • All quotes provided are valid for the period stated in the quote or, where no period is stated, for 14 calendar days.
  • An Order is only accepted once we issue a written order acknowledgement or invoice.
  • We reserve the right to decline any Order for reasons including stock availability, credit status, or regulatory restrictions.

4. Pricing and Payment

  • Prices are quoted exclusive of VAT and other applicable taxes unless otherwise stated.
  • Payment terms are as agreed in writing. Unless otherwise agreed, invoices are due within 30 days of the invoice date.
  • We may charge interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Delivery, Title and Risk

  • Delivery dates are estimates. We are not liable for delays caused by circumstances beyond our reasonable control.
  • Risk in the Goods passes to you upon delivery. Title remains with us until full payment has been received.
  • You must inspect Goods upon delivery and notify us of any shortages or damage within 48 hours.

6. Warranties and Product Standards

  • We warrant that Goods supplied will materially conform to the agreed specification and be free from defects at the time of delivery.
  • All Goods are sourced in compliance with applicable UK and EU product safety, labelling, and regulatory requirements.
  • Product shelf-life and storage conditions will be supplied with each delivery where relevant.

7. Limitation of Liability

  • Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
  • Our total liability arising out of or in connection with any Order is limited to the value of that Order.
  • We are not liable for indirect, consequential, or economic loss, including loss of profit, revenue, or business opportunity.

8. Intellectual Property

  • All content on this Site, including logos, text, images, and product information, is the property of POPPY TRADERS LTD or its licensors.
  • You may not reproduce, distribute, or commercially exploit any Site content without our prior written consent.

9. Confidentiality

  • Each party agrees to keep confidential any commercially sensitive information disclosed during the course of business.
  • This obligation does not apply to information that is publicly available, already known, or required to be disclosed by law.

10. Governing Law and Jurisdiction

  • These Terms are governed by and construed in accordance with the laws of England and Wales.
  • Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
